These Terms of Service (“Terms”) govern your use of services provided by EvocTech (“we”, “us”, or “our”). By engaging our services—whether through a consultation, project proposal, or signed agreement—you (“Client”) agree to be bound by these Terms.
If you do not agree, please do not proceed with booking or payment.
1. About EvocTech

2. Scope of Services
Services include, but are not limited to:
- Website design and development
- Custom software and SaaS development
- Digital marketing strategy and execution
- Technical consultancy and support
All services are provided based on a mutually agreed Statement of Work (SoW) or project proposal, which forms part of these Terms.
3. Project Process & Timelines
- We operate on a fixed-scope, fixed-price basis for defined projects.
- Timelines are estimates only and may be adjusted due to Client delays, scope changes, or unforeseen technical issues.
- We use agile or phased delivery where appropriate, with regular updates and client feedback checkpoints.
4. Client Responsibilities
You agree to:
- Provide timely feedback and approvals
- Supply necessary content, assets, or access (e.g., CMS, analytics, brand guidelines)
- Ensure all materials you provide are legally compliant and do not infringe third-party rights
Delays caused by the Client may result in adjusted timelines or additional fees.
5. Fees & Payment
- Fees are outlined in the agreed project proposal or Statement of Work.
- Payment schedule: Typically 50% upfront, 50% on delivery (or as specified per project).
- Invoices are due within 14 days of issue. Late payments may incur interest at 2% per month under the Late Payment of Commercial Debts (Interest) Act 1998.
- All prices are in GBP (£) and exclude VAT unless stated.
6. Intellectual Property (IP)
- Pre-existing IP: Tools, frameworks, or code libraries we own remain our property (licensed for your use).
- Deliverables: Upon full payment, you receive a non-exclusive, worldwide, perpetual licence to use the final deliverables (e.g., website, software, marketing assets) for your business purposes.
- Source code: For custom software, full source code and documentation are provided upon final payment.
- You retain ownership of your brand, content, and data.
💡 Note: Full IP assignment can be negotiated for an additional fee.
7. Support & Maintenance
- Post-launch support: 14–30 days of bug-fixing support is included (as specified per project).
- Ongoing maintenance (e.g., updates, backups, enhancements) is available via a separate Support Plan.
8. Limitation of Liability
- We provide services with reasonable skill and care, but do not guarantee specific business outcomes (e.g., traffic, sales, rankings).
- Our total liability for any claim related to our services is limited to the total fees paid by you for the relevant project.
- We are not liable for:
- Indirect or consequential losses
- Third-party platform issues (e.g., WordPress, Shopify, social media APIs)
- Losses due to Client-provided content or delays
9. Termination
Either party may terminate a project with 7 days’ written notice.
Upon termination:
- You pay for all work completed and expenses incurred
- We deliver completed work up to the termination date
- Any prepaid fees for uncompleted work will be refunded, minus costs
10. Confidentiality
Both parties agree to keep confidential all non-public business, technical, and financial information disclosed during the engagement.
11. Governing Law
These Terms are governed by the laws of England and Wales. Any disputes will be subject to the exclusive jurisdiction of the courts in Bristol, UK.
12. Changes to These Terms
We may update these Terms occasionally. The current version will always be available on our website at https://evoctech.co.uk/terms-of-service . Continued use of our services constitutes acceptance of any changes.
